References to "we," "us," and "our" throughout these Terms and our other policies refer to the proprietor operating Berry Report Digital, who provides the services described here directly and is solely responsible for the business's obligations under applicable law.
Berry Report Digital provides web development and related services, including custom website development, SaaS development, business websites, landing pages, API development and integration, internal dashboards, automation solutions, UI/UX design, performance optimization, and maintenance and support.
Specific project scope, deliverables, timelines, and pricing for any engagement are defined in a separate written proposal, statement of work, or agreement between Berry Report Digital and the client, which supplements these Terms.
Unless otherwise agreed in writing, projects require an upfront deposit before work begins, with the remaining balance due upon completion or according to a milestone schedule set out in the project agreement.
Invoices are due upon receipt unless otherwise specified. Late payments may result in a pause of ongoing work until payment is received. Fees paid are generally non-refundable once work has commenced, except as otherwise agreed in writing.
Upon full payment for a project, the client receives ownership of the final deliverables created specifically for that project, excluding any pre-existing tools, libraries, frameworks, or reusable components owned by Berry Report Digital or licensed from third parties, which remain the property of their respective owners.
Berry Report Digital retains the right to use non-confidential aspects of completed work, such as visual screenshots or general project descriptions, for portfolio and marketing purposes, unless the client requests otherwise in writing.
Clients are responsible for providing timely feedback, content, credentials, and access necessary to complete a project. Delays in providing required materials may extend project timelines accordingly.
Clients are responsible for ensuring that any content, trademarks, or materials they provide for use in a project do not infringe the rights of any third party.
To the fullest extent permitted by law, Berry Report Digital's total liability arising out of or relating to any services or these Terms shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.
In no event shall Berry Report Digital be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility of such damages.
Either party may terminate an active engagement with written notice as specified in the applicable project agreement. Upon termination, the client is responsible for payment for all work completed up to the effective date of termination.
Berry Report Digital reserves the right to suspend or terminate access to any deliverables or ongoing support in the event of non-payment, after reasonable notice.
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
We may update these Terms from time to time. Continued use of our site or services after changes take effect constitutes acceptance of the revised Terms. The "Last Updated" date reflects the most recent revision.
